Data Trading: The retailer retains full ownership of its data. tapestry® facilitates trades via escrow and charges a 33% fee, paid quarterly. The retailer is responsible for ensuring data accuracy and compliance, enabling POS integration, and making payment by direct debit, card, or invoice.

Cost: $48/store/month (maintenance & server hosting)

‍Retail+ Pro
‍Features: Hank (AI Co-pilot), AI Recommendations, Space Management
Cost: $350/store/month 6-week free trial (from activation date), then rolls into 12-month contract
No upfront installation fees

‍Annual Discount: 15% discount if paying full year in advance (after any trial).
Premium Add-ons: New features may be introduced and priced separately.

2. Data Trading & Monetisation
‍tapestry® may facilitate data trades with third parties with your permission.

Retailer retains ownership of its data but grants tapestry a limited licence to operate.

tapestry® charges 33% of data trade fees.

Payments flow through escrow and are released quarterly.

3. Responsibilities

Retailer:
‍Ensure data accuracy, compliance, and security.

Provide POS provider introduction if not yet integrated.

Payments via direct debit/credit card; non-payment may result in suspension.

‍Tapestry:
‍Provide access, updates, and support.

Maintain at least 95% uptime.

Secure handling of data (not liable for third-party breaches).

4. Termination & Disputes

Termination: 30 days’ notice without cause; immediate for breach.

‍Data Handling: Data deleted within 30 days after termination (unless required by law).
‍
‍Disputes: Negotiation → mediation (10 days) → legal action if unresolved.

‍Law: Governed by Australian law.

Hank (Retail+ Pro) — Terms of Use

1. Description of Hank: Hank is an AI intelligent assistant providing insights, summaries, and recommendations.
2. No Professional Advice: Outputs are informational only, not legal, medical, financial, or safety advice.
3. Human Oversight Required: You must validate outputs before use.

2. AI Disclaimers

    2.1 Probabilistic Outputs: Accuracy, reliability, or uniqueness not guaranteed.

    2.2 Input Dependence: Outputs rely on data provided. You are responsible for accuracy.

    2.3 High-risk Use Prohibited: Not for medical, emergency, or critical infrastructure.

    2.4 Sensitive Data: Do not input highly sensitive personal data unless agreed in writing.

3. Use & Access

    3.1 Only authorised users may access Hank.

    3.2 Prohibited uses include reverse-engineering, misuse, discrimination, harassment, or law violations.

    3.3 Provider may enforce usage limits.

4. Data & Privacy

    4.1 Customer retains rights to all data submitted and outputs generated.

    4.2 Provider may process data to provide services, ensure security, and generate de-identified analytics.

    4.3 Privacy policy applies; Provider maintains reasonable security safeguards.

5. Intellectual Property

    5.1 Provider retains IP rights to platform, models, and algorithms.

    5.2 Customer may use outputs for lawful business purposes.

    5.3 Feedback may be used by Provider without restriction.

6. Liability & Warranties

    6.1 Services and outputs are provided “as is”.

    6.2 Provider disclaims warranties except those under Australian Consumer Law.

    6.3 Liability capped at 12 months of fees paid.

7. Termination

    7.1 Either party may terminate for material breach (30 days’ notice to cure).

    7.2 Data export available for 30 days after termination.

     7.3 Provider may suspend service for non-payment, misuse, or security risks.

8. Governing Law

    8.1 Laws of Victoria, Australia apply.
